1. Agreement
These Terms of Service ("Terms") govern your access to and use of qanoonihq.com and the Qanooni legal research and contract drafting platform (collectively, the "Service") operated by Qanooni L.L.C. ("the Company," "we," "us," or "our"), a company incorporated in the United Arab Emirates with its principal offices at Sheikh Zayed Road, One Central, Office 1204, Dubai, UAE.
By creating an account or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. Nothing in these Terms limits any statutory rights you hold under the laws of your country of residence.
The Service is intended for use by legal professionals and organisations. If you are accessing Qanooni on behalf of a law firm, corporate legal department, or other entity, you represent that you have authority to bind that entity to these Terms.
2. The Service
Qanooni provides AI-assisted legal research that returns every answer with its source citation from our MENA legal corpus, together with contract drafting assistance and clause-by-clause contract review. The platform is designed to support the work of qualified legal practitioners and does not itself constitute legal advice.
You acknowledge that:
- Outputs generated by the Service are research aids. Professional judgment and independent verification remain your responsibility before relying on any output in legal work or advice.
- Citation accuracy is high but not infallible. You are responsible for verifying that cited sources say what the platform represents them to say.
- The Service covers UAE mainland, DIFC, ADGM, JAFZA, DAFZA, and broader GCC legal frameworks. Coverage of other jurisdictions is limited and should not be assumed.
3. Use of the Service
- You must be of legal age in your jurisdiction or have parental or employer consent, and you must be authorised to practise law or to carry out legal research professionally if using Qanooni for legal work.
- You agree not to use the Service to produce outputs intended to deceive courts, tribunals, counterparties, or regulators, and not to misrepresent the AI-generated nature of any output you present as final advice.
- You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to systems or other users' data.
- You may not scrape, reverse-engineer, resell, or copy the Service, its corpus, or its outputs except as permitted by mandatory law or a separate written agreement with the Company.
- Automated bulk queries that circumvent rate limits or that are designed to extract corpus data in its entirety are prohibited.
4. Subscriptions and Payment
Access to the platform is provided on a subscription basis at the tiers published on our pricing page. Subscriptions renew automatically unless cancelled before the renewal date. You authorise us to charge your designated payment method on a recurring basis.
We may change subscription pricing with thirty days' prior notice. If you do not accept a price change, you may cancel before the next renewal. Fees paid for a current billing period are non-refundable except as required by mandatory law.
Firm-tier and custom arrangements are governed by the terms of a separate agreement executed between the Company and the subscribing entity.
5. Intellectual Property
The Service, its underlying corpus, retrieval architecture, and all associated intellectual property are owned by the Company or its licensors and are protected under applicable intellectual-property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your own lawful professional purposes during an active subscription period.
Research outputs you generate using the Service, including cited answers and drafted clauses, may be used in your professional work. The Company does not claim ownership of those outputs. However, you may not represent the Service itself as your own product or resell access to it.
6. User Content
You are responsible for any content you submit to the Service, including legal queries, contract documents, and any instructions. You warrant that you have the right to submit such content and that doing so does not violate any confidentiality obligation, professional duty, or third-party right.
You grant the Company a limited licence to use, store, and process your submitted content solely to deliver the requested Service features. We do not use the substantive content of your queries or documents to train AI models without your explicit written consent. See our Privacy Policy for full details.
7. Disclaimers
The Service is provided on an "as is" and "as available" basis. We disclaim all warranties to the maximum extent permitted by applicable law, including warranties of fitness for a particular purpose and uninterrupted availability. The Company does not warrant that cited sources will be free from error or that all applicable law in a given query's jurisdiction will be captured in the corpus.
Mandatory consumer and professional-service warranties applicable in your country of residence are not excluded by these Terms.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Company's total aggregate liability to you for any claim arising from or related to the Service in any twelve-month period will not exceed the total subscription fees you paid to the Company in that period, or USD 500, whichever is greater. This limit does not apply to liability that cannot be excluded under mandatory law.
In no event will the Company be liable for indirect, consequential, incidental, or punitive losses, including loss of profits or loss of opportunity, arising from reliance on platform outputs, subject to mandatory law.
Because Qanooni serves legal professionals who hold independent duties to verify, the Company's liability for errors in research outputs is proportionate to the verification tools the platform provides alongside each answer, not the face value of the cited answer itself.
9. Indemnification
You agree to indemnify and hold harmless Qanooni L.L.C., its officers, and employees from any third-party claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law or third-party right.
10. Termination
Either party may terminate the subscription by cancelling before the next renewal date. The Company may suspend or terminate your access immediately if you breach these Terms or if your use poses a risk to the Service or to other users. Following termination, Sections 5, 7, 8, 9, and 11 survive.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved by direct negotiation shall be subject to the non-exclusive jurisdiction of the competent courts in Dubai, the United Arab Emirates, without prejudice to any mandatory consumer-protection rights you hold in your country of residence.
12. Changes and Contact
We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, where appropriate, notified to active subscribers by email. Continued use after the effective date of updated Terms constitutes acceptance.
